Non-Disclosure Agreement
This Non-Disclosure Agreement (the “Agreement”) is made and entered into as of this 20th day of September, 2025, by and between:
Disclosing Party:
Wisdom Ubaka, a private individual residing at Ogun State, Nigeria
Receiving Parties:
Adanma Favour, a private individual residing at Lagos, Nigeria.
Israel Ojiefoh, a private individual residing at Abeokuta, Nigeria.
1. Purpose
The Receiving Party has expressed an interest in evaluating a potential investment opportunity related to a business venture known as Wechnology. In order to facilitate this evaluation, the Disclosing Party will be providing certain confidential and proprietary information to the Receiving Party.
2. Definition of Confidential Information
“Confidential Information” shall include any and all information disclosed by the Disclosing Party to the Receiving Party, whether in writing, orally, or by any other means. This includes, but is not limited to:
- The Wechnology business plan and all related documents
- Financial projections, financial models, and investment terms
- Proprietary technology, software architecture, and trade secrets related to Wechnology
- Marketing strategies, customer lists, and business development plans for Wechnology
- All other technical, financial, and business information related to the Wechnology venture not publicly known
3. Obligations of the Receiving Party
The Receiving Party agrees to:
- Hold all Confidential Information in strict confidence and trust
- Use the Confidential Information solely for the purpose of evaluating the potential investment in Wechnology
- Not disclose, reproduce, or otherwise make available the Confidential Information to any third party without the prior written consent of the Disclosing Party
- Take all reasonable precautions to protect the Confidential Information from unauthorized disclosure
4. Exclusions from Confidential Information
The obligations under this Agreement do not apply to information that:
- Was already known to the Receiving Party before its disclosure
- Is or becomes publicly available through no fault of the Receiving Party
- Is rightfully received by the Receiving Party from a third party without any confidentiality obligation
- Is required to be disclosed by law, a court order, or a government authority, provided the Receiving Party gives prompt notice to the Disclosing Party
5. Term
This Agreement will be effective as of the date first written above and will remain in effect for a period of five (5) years from the date of disclosure of the Confidential Information. The obligations of confidentiality shall survive the termination of this Agreement.
6. Return of Confidential Information
Upon the Disclosing Party’s request, the Receiving Party shall promptly return or destroy all Confidential Information and all copies thereof. The Receiving Party shall certify in writing that all such information has been returned or destroyed.
7. Non-Solicitation
The Receiving Party agrees not to directly or indirectly solicit or hire any individuals or contractors involved in the Wechnology venture for a period of one (1) year following the date of this Agreement, without the prior written consent of the Disclosing Party.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Nigeria.
